1. Who we are

Africa Markets ("Africa Markets", "we", "us") operates the website at africamarkets.com and the pre-registration programme for a pan-African private markets platform. Africa Markets is operated in partnership with Capital Engine®. Our contact address is [email protected].

These Terms apply to the website and to the early-access (pre-registration) programme. When the trading platform launches, participation will be governed by separate platform agreements, membership rules and the applicable regulatory framework, which you will be asked to accept at that time.

2. Acceptance

By using the website or submitting a pre-registration you agree to these Terms and to our Privacy Notice. If you do not agree, do not use the website.

You must be at least 18 years old, and if you register on behalf of a company, bank, broker or law firm you confirm that you are authorised to do so.

3. Early access is not an offer

Pre-registration expresses interest only. It does not:

• open an account, create a client relationship, or entitle you to trade;
• constitute an offer, solicitation or recommendation to buy or sell any security or financial product;
• guarantee that you will be admitted to the platform, or that the platform will launch in any particular form or timeframe.

Admission to the platform will be subject to eligibility checks, including identity verification (KYC), anti-money-laundering screening, and — for investors — confirmation of the categories of investor permitted under applicable law.

4. No advice

Nothing on the website is financial, investment, legal, tax or accounting advice, and nothing constitutes "advice" or an "intermediary service" as defined in the Financial Advisory and Intermediary Services Act, 2002 (FAIS). Content such as company profiles, market data, valuations and commentary is provided for general information and may be indicative, delayed, or derived from third-party sources. Always obtain independent professional advice before making an investment decision.

5. Your obligations

You agree to:

• provide accurate, current information when you pre-register and keep it up to date;
• use the website only for lawful purposes and not to interfere with its operation, probe its security, scrape its content, or misrepresent your identity or affiliation;
• keep any verification codes or links we send you confidential.

We may suspend or remove a pre-registration that we reasonably believe breaches these Terms, is fraudulent, or is inconsistent with our regulatory obligations.

6. Intellectual property

The website, its design, text, graphics, logos, data compilations and software are owned by Africa Markets, Capital Engine® or their licensors and are protected by copyright and trade mark law. You may view and print pages for your personal, non-commercial use. Any other use requires our prior written consent. "Africa Markets" and the Africa Markets logo are our trade marks; "Capital Engine" is a registered trade mark of its owner.

7. Third-party content and links

The website may link to or display content from third parties (for example, market intelligence providers). We do not control and are not responsible for third-party sites or content, and a link does not imply endorsement.

8. Availability and changes

We may change, suspend or withdraw any part of the website, the early-access programme or these Terms at any time. Material changes to these Terms will be posted on this page with a new effective date; continued use after that date means you accept the updated Terms.

9. Disclaimer of warranties

The website is provided "as is" and "as available". To the fullest extent permitted by law we exclude all warranties, express or implied, including that the website will be uninterrupted, error-free or free of harmful components, or that any information is complete, accurate or current.

10. Limitation of liability

To the extent permitted by law, Africa Markets, Capital Engine® and their directors, employees and agents will not be liable for any indirect, incidental, special or consequential loss, or any loss of profit, revenue, data or opportunity, arising from your use of or inability to use the website. Nothing in these Terms excludes liability that cannot be excluded under the Consumer Protection Act, 2008 or other applicable law.

11. Governing law and disputes

These Terms are governed by the laws of the Republic of South Africa. The courts of South Africa have exclusive jurisdiction over any dispute, without prejudice to any rights you may have under mandatory consumer-protection law in your country of residence.
